Role
Our client is an independent global provider of specialised fiduciary, fund administration, entity formation and management, insurance management and trust and private client services.
Our client is currently seeking a Senior Company Secretary, with funds experience, to join their management team.
Role Requirements
The successful candidate will be responsible for supervising the team of client service professionals in the corporate secretarial team.
This includes, but is not limited to, the following: Budgeting, Financial and Reporting creating team budgets with or without input from the team and reviewing and agreeing them with the relevant management team prior to the beginning of the financial year; preparing and providing management reports to the relevant management team as required; monitoring and preparing monthly reporting of deal flow and/or revenue against prior year and current budget; and preparing ad-hoc reporting upon request.
Billing and Receivables: proactively ensuring that team billings are completed in a timely manner; assisting management team with time analysis to determine where additional or increased billing may be appropriate, advising on approach; and responsible for team receivables (monitoring team receivables versus collection targets), including assisting in the collection of them.
Business and Team Management: forward planning of resources by assessing whether the team is properly resourced both in terms of professional and support staff at all times, recommending recruitment to the relevant Management team where necessary; developing business operating procedures; working with the HR Department on the recruitment and selection process and reviewing job descriptions as necessary; ensuring the effective management of the team including motivating, encouraging the office culture, holding regular individual and team meetings, gaining commitment, exercising leadership and effective delegation within the team, and maintaining morale; ensuring proper time capture is being exercising and periodic review of time spent on clients is being undertaken with a view to increasing fees where there is opportunity; in conjunction with the management team conducting annual performance reviews (including setting performance targets and personal goals) for each team member and ensuring all reviews are completed and delivered on time; working with the team on personal development plans to achieve development goals, providing support and encouragement; effective performance management by providing on-going constructive and positive feedback, recognising both strengths and areas for improvement; managing employee relationships by managing conflicts and dealing with issues, escalating to the relevant management team where appropriate; making presentations to colleagues in respect of technical areas of expertise in accordance with the developed training program as required; developing or approving training plans for new staff; managing expectations of team in relation to rewards, advancement and compensation; providing overall management of workflow and allocation of new deals within the team; assisting other team members with complex issues, identifying the risks, determining the resolution process and taking ownership of overseeing the issue to completion; monitoring the day-to-day working practices of the team, producing reports from the database as necessary and holding regular team meetings to discuss current issues and business, canvassing opinions and provide feedback where necessary; maintaining communication with corporate secretarial teams based in other jurisdictions; developing group structure; monitoring staff productivity and capacity; optimising profitability through effective management of people; and assessing whether the team is properly resourced both in terms of professional and support staff, and technology at all times, recommending both recruitment and technology to the relevant Management team where necessary.
Business Development: organising targeted and general marketing to clients and service providers, taking a leading role in forming and developing client relationships; maintaining active contact with a targeted network in order to create market opportunities; advising and assisting other jurisdictions on developing corporate secretarial services; recommending innovative ways of building the business, including looking for and following up on opportunities for new product development; and helping to win new clients to meet the firm’s growth, revenue and cross selling objectives.
Client Work and Client Service: analysing proposed structures from a new business acceptance perspective, obtaining approvals, where required, and issuing fee quotes; provision of service proposals to prospective clients; negotiating service fees and mandates, reviewing client agreements, providing written comments to parties as appropriate or attending conference calls as required; supporting the management team in the administration of their portfolios of client companies; reviewing outgoing deliverables in accordance with a 'four eyes' policy; developing and continuously improving business partnerships with client decision makers, ensuring Client is viewed as the trusted and preferred service provider - actively seeking feedback on the effectiveness of service delivery, leading efforts to improve client satisfaction; anticipating client needs well beyond current projects/engagements, adding to the client’s short-term and long-term business results - understanding clients and their operating environment and circumstances, and the strategic issues that may impact them; responsible for pricing new client deals in accordance with pricing policies and procedures and developing innovative pricing schemes to win business; assessing and advising clients of compliance requirements and obtaining necessary documentation prior to commencing work and in accordance with all internal procedures; proactively consulting the client on detected opportunities and problems - ensure that the client, relevant management team and team members are informed on key issues; and assisting and advising on more complex and sensitive client matters.
Risk Management: analysing deals, identifying risk areas and review proposals to the management team requests prior to submission; understanding the legal issues related to various transactions; reporting team and business issues on a regular basis to the relevant management team; identifying and managing risk in respect of the team, liaising with the relevant management team as appropriate.
Candidate Requirements
The ideal candidate will be a university graduate with an excellent academic background, and qualified Company Secretary. He/she will have an internationally recognised legal qualification and at least 4 years relevant legal experience with a focus on financial services, preferably investment funds.
